THE SITUATION

A London-based equities hedge fund was facing an existential threat following a wave of investor redemptions.

The viability of the fund hung on the redemption order and timeline of the last remaining anchor investor: a US endowment whose decision would materially determine whether the fund could survive long enough to raise and onboard new capital.

THE COMPLICATION

This was a negotiation under acute pressure and low real leverage.

The fund needed to negotiate with the remaining LP to significantly stretch the redemption timeline, while simultaneously negotiating with a new strategic investor over capital investment, terms and onboarding timelines.

The two negotiations were interdependent. If the anchor investor could not be moved, the fund might not have enough time to complete the new investment. If the new investor perceived the fund as too weak, the terms or timing could become unworkable.

The situation required careful management of perceived leverage, personalities and timing on both sides.

INTERVENTION

BreakPoint Black provided intensive live advisory through the crisis.

The work included an intricate behavioural strategy for managing different key personalities inside the anchor LP, despite the fund’s limited real leverage. Communications, sequencing, tone and requests had to be tightly controlled to avoid triggering a worse outcome.

In parallel, we supported negotiation with the new strategic investor, including positioning, terms, timelines and perceived leverage management. The objective was to create enough confidence and momentum to secure commitment without revealing more weakness than necessary.

THE RESULT

The redemption timeline was stretched sufficiently to create a viable path forward.

That time enabled the fund to continue negotiations with the new strategic investor and preserve a credible route to survival rather than being forced into closure by investor exit momentum.
